1. Introduction

Welcome to BOH Solutions Pty Ltd ("BOH Solutions", "we", "our", "us"). These Terms and Conditions ("Terms") govern your access to and use of our website, applications, and related services (collectively, the "Services").

By registering for an account, accessing, or using our Services, you agree to be bound by these Terms. If you do not agree, you must not use our Services.

2. Eligibility and Account Registration

Our Services are intended for professional and business use within Australia. When you create an account, you represent and warrant that:

  • You are authorised to act on behalf of your Organisation.
  • All information provided during registration is accurate and complete.
  • You will keep your login credentials secure and confidential.

Each User is issued a unique login associated with their email address and Organisation. Roles within an Organisation determine the level of access to data and functionality.

3. Subscriptions and Payment

Our Services are provided on a recurring subscription basis. Subscription fees are calculated based on the number of active Users associated with your Organisation.

  • Subscription fees are payable in advance and are non-refundable, except as required by law.
  • Invoices will be issued to the Organisation, and payment is due within the period stated on the invoice.
  • We may suspend access to the Services if payment is not received by the due date.

We reserve the right to adjust subscription pricing with reasonable notice. Any changes will apply from the next billing cycle unless otherwise stated.

4. Use of Services

BOH Solutions provides design and validation tools to assist with compliance to Australian construction and engineering standards. While we strive for accuracy, our tools and outputs are intended to support - not replace - professional engineering judgment.

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Services in a way that could damage, disable, overburden, or impair our systems.
  • Attempt to gain unauthorised access to any part of the Services or other users' data.
  • Reverse engineer, copy, or resell our Services or any part of the underlying software.

5. User Content and Intellectual Property

You may upload or create content through the Services, including design files, calculations, and reports ("User Content"). All User Content remains the property of your Organisation.

By using the Services, you grant BOH Solutions a limited, non-exclusive, revocable licence to host, process, and display User Content solely for the purpose of providing and improving the Services.

We do not claim ownership over your Organisation’s intellectual property. However, all software, systems, tools, databases, and documentation developed or provided by BOH Solutions remain our exclusive property.

6. Data Security and Privacy

We take data security seriously and use reputable hosting and encryption practices. Details of how we collect, store, and protect personal information are described in our Privacy Policy.

7. Confidentiality

We treat all information uploaded or generated through your account as confidential. We will not access, share, or disclose your Organisation's data except as required to operate the Services, comply with legal obligations, or with your express consent.

8. Service Availability and Maintenance

We aim to provide reliable, continuous access to the Services. However, from time to time we may perform scheduled maintenance or experience unforeseen downtime.

We will use reasonable efforts to notify you in advance of planned maintenance. We are not liable for any loss or interruption resulting from downtime, maintenance, or technical issues beyond our control.

9. Warranties and Disclaimers

We provide our Services using reasonable skill and care, but we do not guarantee that:

  • The Services will always be available, error-free, or free of security vulnerabilities.
  • The outputs or calculations generated by the Services will meet all regulatory or compliance requirements without professional review.

To the extent permitted by law, BOH Solutions disclaims all implied warranties, including fitness for a particular purpose or non-infringement.

10. Limitation of Liability

To the maximum extent permitted by law, BOH Solutions, its directors, employees, and affiliates are not liable for any indirect, incidental, or consequential loss, or any loss of profits, revenue, data, or goodwill arising from your use of the Services.

Our total aggregate liability under these Terms is limited to the total subscription fees paid by your Organisation in the 12 months preceding the event giving rise to the claim.

11. Termination

You may terminate your Organisation's subscription by providing written notice in accordance with your subscription terms.

We may suspend or terminate access to the Services if:

  • Payment remains outstanding after the due date;
  • You or your Organisation breach these Terms; or
  • We are required to do so by law or regulatory order.

Upon termination, your Organisation's access will cease, but we may retain copies of data as required for legal, accounting, or backup purposes.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of Victoria, Australia. You agree to submit to the exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.

13. Changes to These Terms

We may update these Terms from time to time to reflect changes in our business, technology, or legal requirements. The latest version will always be posted on this page. By continuing to use the Services, you accept any revised Terms.
